This reduction of staff members will result in reduced manpower costs, even after paying the severance packages to those who were let go of.Aside from reduction of people, savings can also be obtained by virtue of the fact that retaining the best people for the tasks at hand would mean there is no longer a need for the resulting company to spend money and other resources in training and educating its employees.Improved market reachThink of one company operating in one market combining with another company that operates in another market. This means that the resulting company will have access to both markets, and the larger economies of scale is also likely to mean that it will have greater potential to reach new markets. The resulting company will also be able to take advantage of new sales and purchase opportunities, due to the expansion of its supply, marketing and distribution chains.The speed with which a company can also enter new markets is faster. Say, for example, that a company wants to enter a new market. The whole process requires acquisition of new resources, educating and training people to f acilitate entry into that market, and developing business models and plans applicable to that market. By acquiring another company or a firm, especially one that already has a foothold in that market you are targeting, or one that has the resources needed, the entry will be sped up.Enhanced industry visibilityA bigger company has a wider market reach, can have better performance and enhanced efficiencies, and eventually have an improved ranking in the industry. This is not the final benefit, though, because the enhancement of the business in the industry also places it in a better position to raise capital or funding, when and if needed.Acquisition of new talent and technologyThe streamlining of the personnel or human resources of the combined company will result in the improvement of your people’s productivity due, in large part, to the discovery of new talent. Combining companies will also mean pooling each other’s technologies together and even sharing knowledge and technical know-how. This would go a long way in helping the company develop and maintain its competitive edge, since it is a fact that being updated with the recent developments and advancements in technology is a vital aspect of business.TYPES OF SYNERGIESThere have been a lot of categorizations for synergies but, in an effort to simplify matters, they have been broken into two forms, as mentioned earlier, which are the Revenue Synergies and Cost Synergies. However, to provide more details, we can further break them down into 4 types: Cost, Revenue, Financial, and Market.Cost synergiesWhen we speak of synergies that involve the reduction or decrease in costs, we are referring to cost synergies. More often than not, these costs include administrative and overhead costs, which can be reduced, or even completely eliminated in some cases, by combining activities, technologies or resources after the business combination. Resources that are not used to their full capacities may also be used up to 100%, and even have extended usage, instead of having to purchase new resources or technology altogether.A good example of cost that can be reduced through MA is research and development. It takes money for a company to conduct RD when developing a new product, or a process, or any other business-related matter. However, by combining resources with another company, the money (and time) usually spent in obtaining the required and desired knowledge will be considerably reduced or, in some cases, even fully done away with.Some of the identified cost synergies, which are mainly achieved thanks to the consolidation of the operations of the combined companies, are:Reduction of employees or job and position redundancies;Reduction of administrative and factory overheads, arising from consolidation of marketing, accounting, information technology, and production line functions;Elimination of excess facilities and integration of complementary technologies, which could also be signified by sh ortening of production processes and disposal of surplus facilities; andIncrease in purchasing power, as manifested in the improved bargaining power of the company with supplies, distributors and other business collaborators.Revenue synergiesThese refer to synergies that increase the revenues of the company. This means that the business combination has enabled the company has greater ability to sell more of its products or services, or even increase its selling prices to generate more revenue. It may include activities such as cross-selling and bundling. It may also involve having an expanded product line and being able to reach more customers or buyers.The most common revenue synergies are:Cross-selling, or being able to sell products to new markets, niches, or customer bases;Marketing, selling and distribution of similar or complementary products, which is applicable when the businesses that have combined belong to the same industry (as is often the case);Gaining access to new mar kets, made possible by the existing foothold of one of the companies to a market that was not previously accessible to the other company;Sharing of distribution channels, where the combination results to having more channels for the distribution of products and services; andReduction or elimination of competition, spurred by the larger and more dominant presence of the two business joining forces.Financial synergiesCompanies that undergo business combination are likely to find themselves enjoying lower costs of capital and improved cash flows. Profitability is also a potential synergy that can be enjoyed by the resulting company, due to these lowered risks, improved performance, and reduced costs.The most common examples of financial synergies are:Higher revenues and cash inflow from sale of products and services of the combined companies;Reduced costs, thanks to the streamlining of operations of the resulting business;Higher profits, by virtue of the improved revenue generation and cost efficiency measures implemented after the combination;Improved capacity of the combined business to handle its debts or liabilities;Lower cost of capital and business risk, made possible by the combination of two business, making for a more solid entity; andPossible tax benefits arising from the combination of the businesses and their operations.Market synergiesThese synergies are often seen in the enhanced negotiation capabilities of the company, particularly when dealing with suppliers and partners, as well as its customers.Some of these synergies are:Greater bargaining and negotiating power, where the company is likely to elicit more trust from suppliers, customers and other business partners, when it is trying to enter into transactions with them;Increased recognition of the combined business in the industry, where two businesses with separate standings are now seen as one entity, with their combination increasing their power in the industry they are in; andStronger standi ng, where the resulting business is bigger, and is less vulnerable to hostile takeovers by other businesses.REALIZING SYNERGIESOne of the harsh realities about synergies that many companies attempting MA often learn the hard way is that synergies do not really count for anything unless they are realized. Being able to identify the synergies is one thing; incorporating or integrating them into MA is another. A failed MA basically means synergies that have defaulted; in short, they are of no use at all.During the integration process, in order to realize synergies, keep the following in mind:Synergies must be looked at from a long-term perspective. After all, they are expected to benefit the business in the long-run, so viewing them form a short-term standpoint will not do the company any good. Keep in mind that businesses do not grow overnight, and profits are realized over a period or length of time. When changes are implemented within an organization, it takes time for it to adapt, and there is no denying that MA is a major change.Timing plays an important role. Many businesses undergoing MA have lost estimated synergies for the simple reason that they were not able to handle some integration issues quickly enough. Thus, it is important to always be kept up to date on issues such as the daily operations as well as maintenance of the business which include, but are not limited to, sales, marketing and other financial transactions.Management and leadership play an important role in the realization of synergies. In short, it is the managers that play the largest role in the realization of the synergies that have been identified. Therefore, it is important for managers â€" from top to middle management â€" to be made aware of their responsibilities and, at the same time, keep them motivated to see that MA through.Involvement of the employees is also vital. It is the employees or the personnel who will carry out the operations of the business. Thus, they play an im portant role in MA as well. Business combination means the people of two companies having to work together, and it is highly likely that either group come from different backgrounds and culture. These differences can play a major role in the realization of synergies and of the integration as a whole.Know your goals and stick to it. Keep your focus during the MA. Otherwise, you will lose sight of what the true goal is, and the synergies will be lost to you. By keeping your eye on the ball, you will be able to easily make moves to adapt to certain situations.Monitoring and feedback. There is a need to always conduct surveillance while realizing synergies. This is so that you can track your progress, and see if you are on track towards the goals you have set earlier.Take note that not all synergies are positive. There are also negative synergies that managers and business people involved in MAs have to watch out for. Some of the more prevalent examples include culture clashes among the people in the combining companies, underutilization of available resources, and reduced operational efficiency.Identifying and realizing synergies is often easier said than done, but when done properly, and with a lot of caution, the results can be greatly satisfying â€" and highly profitable â€" for everyone involved.

Tu nivel de liderazgo en la empresa. Mà ¡s que el tipo de empresa, o el tipo de trabajo que haces, el elemento de mayor peso es el nivel de liderazgo que has ejercido en tu carrera profesional. Para ello es muy importante que tu hoja de vida, o â€Å"curriculum vitae†, està © lleno de evidencias concretas: cuà ¡nta gente has lidereado como parte de tu equipo, de quà © tamaà ±o es el presupuesto a tu cargo, quà © tipo de actividades o funciones desempeà ±as. No es suficiente decir que eres là ­der, tienes que demostrarlo con nà ºmeros y hechos. 2. Tu progreso profesional. Es importante que ademà ¡s de liderazgo, demuestres que has sido promovido dentro de la empresa, o que te moviste de una empresa a otra porque esta à ºltima te ofrecà ­a un cargo mayor a la anterior. Ademà ¡s de describir el cambio de rango, es importante demostrar con hechos y nà ºmeros que el nuevo cargo conlleva una responsabilidad mayor. 3. Tu estabilidad laboral. Al mismo tiempo que las escuelas esperan que progreses dentro o fuera de la empresa, tambià ©n valoran tu estabilidad laboral. Esto significa que debes cambiar de trabajo solamente cuando sea absolutamente necesario y que represente un progreso necesario en tu carrera. Cambiar de trabajo cada uno o dos aà ±os, por ejemplo, demuestra inestabilidad y genera desconfianza. Si bien es cierto que muchas veces los cambios de empleo son involuntarios y hasta necesarios, trata de mantenerlos a un mà ­nimo, y en la medida de lo posible, evita perà ­odos largos entre los empleos que posteriormente tengas que explicar. Es imprescindible que la hoja de vida, o curriculum vitae (CV), contenga tus logros profesionales con detalles y resultados. â€Å"Hey, Sal, how come they ain’t no brothas on the wall?† (Do the Right Thing) was the question by Buggin Out that began and instigated the conflict that occurred on the hottest day of the summer in a local Brooklyn pizzeria. Sal Fragione is the owner of the 25 year old pizzeria in a majorly African-American neighborhood. The plot follows and revolves around Sal because of his role in â€Å"instigating† the antagonist (Buggin Out), supporting the protagonist (Mookie) with a job, delivering advice to his son, speaking and helping all of the other supporting characters. With the issue of the Wall of Fame, Sal believed that he had the right to choose which individuals appeared on his Wall of Fame in his pizzeria; all Italian Americans. Buggin Out attempts to rally people on the block to boycott Sal’s Pizzeria because of his single-race Wall of Fame. But, almost everyone refuses to boycott because Sal has supported, fed and cared for them over the years. In a last stitch effort, Buggin Out finds two individuals, Radio Raheem and Smiley, who agree to boycott Sal’s. Ever since the internet was first made publically available in 1991 the ease of accessing entertainment, education, and information has been increasing every year. However, despite the obvious advantages of the internet’s freedom, some countries are trying to control the internet and display what it deems appropriate for the public eye. Many countries, including Australia, China, and North Korea implement a system to filter web content. Users are prohibited from using the Internet to create, replicate, retrieve, or transmit information that incites resistance to the PRC Constitution, laws, or administrative regulations; promotes the overthrow of the government or socialist system; undermines national unification; distorts the truth, spreads rumors, or destroys social order; or provides sexually suggestive material or encourages gambling, violence, or murder. Users are prohibited from engaging in activities that harm the security of computer information networks and from using networks or changing network resources without prior approval (International Debates†). The Bliss Air Airline has concentrated on the mid-range sectors out of three sectors to not only increase the company's sales volume but also keeps in mind the quality and productivity factor. Nevertheless, if analyzed in other areas, a luxury sector is a profit-generating sector with its primary and foremost aim being quality. However, the cost was growing with no profit and hence, there was a shift from luxury to mid-range airlines in a year. The following factors that could have reinvented at the time of simulation were the strategic approach, pricing (fare), systematic approach, large customer base. Strategic Approach - At the beginning, there was no strategic approach applied that is the reason the shift is from luxury to mid-range sector. However, there was a need for a strategic approach that could define the goals and missions of the Bliss Air airline company. However, as stated it had been better if the strategy could have been mixed strategy with pricing, marketing and promotional activities (Robinson 2014). Pricing (fare) - A cue in price is a tactic used in marketing when to influence customers or competitors depending on the future or past prices. However, Bliss Air airline being a luxurious airline, at first, kept a price that was more than the affordable price for the general public. Hence, the price is an important factor but not devising a clear strategy lead to expenses on promotional measures and ultimately resulted in a loss to the airline (Somervuori 2014). Large Customer Base - The focus laid on large customer base and not target population which resulted in extra expenses on promoting rather on pricing or setting target population. Systematic Approach - There was no systematic approach as defined except gathering a broad consumer base. The flight maneuver, fuel and maintenance cost did not rise because of the increase in the number of passengers that is the reason that loss was not significant. Hence, if a systematic approach had been prevalent from the beginning, then Bliss Air would have profit than what the airline made (Chen and Pawilkowski 2015). The measures taken during the process of simulation in the 7th quarter are mentioned below. A better reservation system that enhances the productivity of the airline. Pricing strategy based on the booking dates and less booking rates when booked in advance with coupons of gathering extra points. Proper allocation of funds and forecasting profit in a guided business plan. Proper guidance to the customers and make them feel satisfied (Belobaba, Odoni and Barnhart 2015). Directed investment in the market research sector for situational analysis based on PESTEL (external) and SWOT (internal) industry analysis for sales forecasting and focusing on sales volume by employing more sales employee. 2. The KPI's known as Key Performance Indicators adopted at the onset of the airline is different from now because the sector adopted at the first did not yield results. However, Key Performance Indicators did not lead to the success of the Bliss Air and resulted in reframing. Thus, after analyzing the visions, missions and objectives with the stakeholders; it led to measured progress to achieve the objectives. However, the four KPIs, which need to be analyzed in the airline industry, are customer satisfaction, financial performance index, flight operation, employee satisfaction and internal process quality (Marr 2013). Customer Satisfaction Customer recommendation based on customer satisfaction is a measure of success that can be measured on Global Performance Monitor (GPM) with follow-up online survey carried out by independent market research will help in reviewing the condition of sales and profitability. Mergers are based when two companies constitute to one "new" company whereas acquisition is taking assets possession of one company from the other (Evans 2010). The synergy goal is common in both the concepts. The risks should be identified before going into a merger or acquisition. The risks that can pose a threat regarding Bliss Air airline would be the cultural risk, customer retention risk while focusing on the customer base followed by company employees because Bliss Air being a new business will ensure that the employees and customers are retained. However, if merged with any other company, then the retention power might get reduced as a result of changed working style and nature of the enterprise. However, to restore capabilities the merged or acquiring company should be of a similar business with stronger operations (Roberts, Wallace and Moles 2012). There are certain advantages as well if went for a merger of acquisition. Bliss Air airline company, which is just two years old, might face problem in acquiring assets of other companies as it does possess funds that could help it acquire assets from other businesses (Moss 2013). However, if the merger takes place with a stronger airline company than Bliss Air like Emirates or British Airways, then Bliss Air will become economically strong being the subsidiary in the merger. In Bliss Air, during the 6th quarter when the business was facing problems in the sector change, the airline had an overdraft loan, which will be saved further if merged with the potential airline. The advantage not only includes the positive impact on stock price but impact in financial terms as well highlighting operational strategy. The example that can help in understanding the situation could be if the company acts smartly and does a merger in the mid-quarter when the financial position is strong then Bliss Air could yield positive results regarding competitive advantage. However, the mistakes at the beginning of simulation would not have affected the growth of the airline. The other operating costs that could have spread between the two companies would have been interesting expenses , fuel, market research, maintenance, taxes, and others (Fageda and Perdiguero 2014). The Bliss Air lacked in expense allocation and proper maintenance and with a powerful merge, these disadvantages of Bliss Air could be shadowed as the funds are shared between the two companies. Hence, as a team of Bliss Air, the profit was made in the first two-quarters, but a later shift in the sector, the company suffered a continuous loss which led to a reduction of profit and increased cost. However, reduction in pricing can be avoided in a merger. Nevertheless, the Bliss Airline lacked operations on customer and employee satisfaction as well (Fageda and Perdiguero 2014). 4. The key ways that an extraordinary nature, if an industry is analysed, is based on the three aspects namely executing, monitoring and planning. The team of management started its operation in a luxury sector but after experiencing troubles from the second quarter, it changed to mid range sector because the cost was rising, profits were diminishing, and more funds had been used in promotional activities. The appraisal on how the Bliss Airline functioned was unsatisfactory at first but later turned to be unsatisfactory. However, the results did not show positive response as the cost was rising. Nevertheless, the competitive nature of the company was diminishing because it failed in the course of business (Belbin 2012). The strategic and systematic approach were not followed, and the basic motive was between quality and price. Subsequently, after sector change, though the different marketing sectors started responding better the profits were still diminishing as the operational strat egy still lacked despite wide consumer base. Moreover, the airline company did not follow any managerial approach and lacked in aircraft maintenance as well. During the starting of Bliss Air airline, the strategy that was brought into play was Dependency Theory believing that the company will be influenced in a greater manner from the external environment, which includes, customers, stakeholders and public. Hence, during the operations of the business, investing in promotional strategies perceived to get a higher return on customer base with a competitive advantage, but the expenses rose, and the cost and service factor was understood (Kuilman and Wezel 2013). With thi s knowledge in mind, they rolled out a marketing campaign that presents their products as one of the best in its line. The broadcast and print advertisements for the Energizer brand always emphasize the message that their batteries last longer than those manufactured by their competitors. Their main intention is to get the customer to view Energizer as the brand that gives them value for their money. Christensen’s approach and Energizer batteries Using Christensen’s milk-shake analogy, the job of Energizer batteries is to power the specific gadget that it has been installed in, so that the user can get the service he expects from the particular gadget. For instance, when used on a flashlight, the Energizer batteries are hired to provide the power needed to give illumination. The main risk of using Christensen’s approach would be that it may end up not paying off as fast as is expected. In some markets, customers are used skeptical of new advancements and there is a chance that segmentation of the products might end up cutting down on the sales from the original line and distributing it to the new releases (Christensen and Raynor, 2011).
